Eligibility: The Batman Sweepstakes (the "Sweepstakes") is open only to legal residents of the 50 United States and Washington D.C., who are at least 18 years of age (or the age of majority in the jurisdiction of their residence, whichever is older) and who have an active e-mail account and Internet access as of 5/16/22. Employees of Sponsor, Administrator, any organizations sponsoring, fulfilling, administering the Sweepstakes or supplying the prize, persons involved in the creation, development or production (including cast and crew) of The Batman movie and each of their respective parent, subsidiary, related and affiliated companies, and the immediate family and household members of all such foregoing individuals, are not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three (3) months a year, whether related or not. Potential winner may be required to provide proof of eligibility prior to prize award. Void where prohibited or restricted by law.

Sweepstakes Entry: The Sweepstakes begins at or about 12:01:00 a.m. Pacific Time (“PT”) on May 17, 2022 and ends at 11:59:59 p.m. PT on May 24, 2022 (“Promotion Period”). Sponsor's computer is the official clock for this Sweepstakes.

To enter, navigate the Internet to https://www.TheBatman.com and click on The Batman –Sweepstakes image or tab, which will take you to the Sweepstakes home page (the “Website”) and complete and submit an entry form requiring the following information: your first and last name, valid e-mail address and telephone number and correctly answer the riddle.† Each day of the Promotion Period will feature a new riddle which will be available until replaced by Sponsor/Administrator by the next day’s riddle (except for 5/24, the last day of the Promotion Period). You may attempt to enter by correctly answering the riddle on one or more days of the Promotion Period as you wish; riddles do not have to be completed in any prescribed sequence as a precondition to entry.

†Sponsor’s/Administrator’s determination of the correct answers to riddles will be final and binding in all respects.

During the entry process, you may be asked to consent to receive promotional and reminder e-mails from Sponsor. Consenting to receive promotional and/or reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of Sponsor (Sponsor’s Privacy Policy, available at https://policies.warnerbros.com/privacy/), and you may opt out of receiving these e-mails at any time.

Additional Entries: During the Promotion Period, you may obtain additional entries by sharing your entry on Instagram and/or Twitter. After submitting your Base Entry that meets the requirements as set forth above, click one or both of the Share options (Instagram or Twitter) to share the Sweepstakes to your personal Instagram and/or Twitter accounts and receive one (1) additional “Bonus” entry for doing so on each social media platform (“Bonus Entry”). The opportunity to obtain a Bonus Entry is only available during the same online session in which Base Entry was received. Sharing will only result in provision of Bonus Entry if (a) the Share option on the Website is used and (b) an individual does not alter or modify the entry as shared. {As used herein, “Entry” refers collectively to Base Entry and Bonus Entry.}

Limit of one (1) Base Entry and two (2) Bonus Entries per person per day during the Promotion Period, for a total of twenty-four (24) Entries per person during the Promotion Period. For the purposes of this Sweepstakes, a “day” is defined as beginning at 12:00:00 a.m. (midnight) PT and ending at the following 11:59:59 p.m. PT (except for the first day of the Promotion Period, which begins at 12:01:00 a.m. PT and ends at 11:59:59 p.m. PT). On a given day, a person may only receive two (2) Bonus Entries by sharing his/her Base Entry once on Instagram AND once on Twitter.

Multiple entries in excess of this limitation or mass entry attempts will result in disqualification of all entries by such person. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties, are prohibited. Incomplete entries (including Base Entries which omit an answer to that day’s riddle) will be disqualified. Proof of entering information at the Website or entry form (or of sharing entry on Instagram and/or Twitter) is not considered proof of delivery or receipt of such entry. Except as otherwise contemplated by these Rules, and to the extent entrants may otherwise elect at the time of the Entry, information provided by you for this Sweepstakes is subject to Sponsor’s Privacy Policy, available at https://policies.warnerbros.com/privacy/.

If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the prize by means of a random drawing comprised of all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor or otherwise award the prize in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website. Without limitation of any other term here, Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, technical failures of any kind (including but not limited to electronic malfunction or damage of any network, hardware or software as well as filtering or other operation of the functionality of the Instagram and/or Twitter social media platforms), any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from participation in this Sweepstakes.

Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. . CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE, TO SEEK TO DEFRAUD SPONSOR OR ADMINISTRATOR IN CONJUNCTION WITH THE SWEEPSTAKES, OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT (IF APPLICABLE), AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

Random Drawing/Odds: Potential Prize winners will be selected via random drawing, on or about 5/25/22from among all eligible entries received during the Promotion Period. The random drawing will be conducted by Administrator, an independent judging organization, whose decisions are final and binding in all respects related to the Sweepstakes.

Odds of winning a Prize depends on total number of eligible entries received during the Promotion Period.

Prizes:

Grand Prize (1 winner): Grand Prize winner will receive a The Batman prize pack consisting of; one (1) Gotham Police Prop Badge used in The Batman and one (1) Samsung Tab S8 Ultra tablet. Approximate Retail Value of Grand Prize is $1,399.99.

First Prize (2 winners): Each First Prize winner will receive a The Batman movie poster autographed by one or more members of the cast and/or crew of The Batman. Approximate Retail Value of each First Prize is $10.00.

Exact autographs on The Batman poster described above shall be determined by Sponsor in its sole discretion; there is no guarantee that any particular member of the cast or crew from The Batman poster will have the opportunity to sign these items. Autographs do not have a retail value and no representation is made as to any said value.

Approximate Retail Value of all Prizes: $1,419.99.

Prize Winner is not entitled to exchange, substitute or transfer prize except with Sponsor’s permission or where required by law. All applicable federal, state and/or local taxes are the sole responsibility of the Prize Winner. The Grand Prize winner will receive an IRS Form 1099 reflecting the value of the prize.

Conditions and Limitations of Liability: By participating, each entrant agrees: (a) to be bound by these Official Rules and the decisions of Sponsor and Administrator, which shall be final in all respects (including but not limited to Sponsor’s/Administrator’s determination of the correct answers to riddles); and (b) to release, discharge and hold harmless Sponsor, Administrator, any organizations sponsoring, fulfilling, administering the Sweepstakes or supplying the prize, persons involved in the creation, development or production (including cast and crew) of The Batman, each of the foregoing entities’ respective parent, subsidiary, related, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees, as well as Meta Platforms, Inc. and Twitter, Inc. (collectively, the“Released Parties”) from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Sweepstakes or any Sweepstakes-related activity, and/or from entrant’s acceptance, receipt, use or misuse of the prize.

By accepting the prize, Winners grants Sponsor and its designees permission to use his/her name, voice, likeness, photograph, prize information, biographical data and city and state of residence on a winner’s list (if applicable) and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without further obligation or compensation. Sweepstakes subject to the laws of the United States only. All federal, state and local laws and regulations apply. All Entries become the property of Sponsor and may not be acknowledged.

Disputes: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, California, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes or the awarding of the prize shall be resolved solely by binding arbitration before a sole arbitrator under the Streamlined Arbitration Rules & Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Chicago, IL, New York City, NY, Los Angeles, CA, Atlanta, GA or Dallas, TX (whichever is closest to entrant’s residence); provided, however, if none of these locations are convenient for the hearing, the parties may mutually agree on an alternative location. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Los Angeles County, California. Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. To the fullest extent permitted by applicable law, each entrant waives any right to seek to enjoin or restrain the operation or exploitation of this Sweepstakes, the Movie, any advertising or other materials issued in connection with the Sweepstakes or the Movie, or any other Released Party property.

Winners’ List: For the names of the winners, mail a self-addressed, stamped envelope to: “The Batman Sweepstakes Winners”, c/o Probability, PO Box 1559, Social Circle, GA 30025-1559. All such requests must be received by June 6, 2022.
